The client is seeking a VP, Legal Counsel to provide legal support to business units across mergers & acquisitions, structured notes and other structured cash and derivatives products, and fixed income business lines. This role will handle transactional and regulatory matters as well as other general legal issues, with responsibilities that include advising on deal-related documentation and related legal considerations.
Key duties include analyzing merger and acquisition materials such as asset purchase agreements, NDAs, and commitment letters; advising on deal-contingent hedges and related swaps; and reviewing a range of credit agreements and other transaction documents for project financing activities. The role will also support securities laws-related matters and provide dedicated coverage to existing structured note programs, while managing outside counsel across jurisdictions to help assess deal and closing likelihood related to deal-contingent derivatives.
Qualifications include admission to the NY State Bar and a strong academic background consistent with a top law school. The client is looking for an attorney with at least three years of practice at a leading U.S. law firm, with exposure to banking and finance, structured finance, project finance, and/or securities regulatory matters. The role requires a willingness to learn new areas and financial products and to work effectively as a team player, with a hybrid schedule that includes three days in the office.
