Description

Volunteer Board Chair for the client in Canada. The Board Chair serves as a director responsible for ensuring the effective operations of the board, providing governance and strategic oversight, and representing the board as a whole. Day-to-day operations are managed by a CEO and staff team, while the Chair supports governance and board affairs through leadership, collaboration, and engagement.

The role includes ensuring effective board governance and working closely with the President & CEO to strengthen the board’s relationship and working dynamics. The Chair helps directors contribute to discussion and decisions, supports onboarding for new board members, and promotes a healthy board atmosphere that fosters collaboration, communication, and high engagement. The Chair will lead a compensation work group to support annual objective setting, appraisal, and remuneration review of the President and CEO, and will generally attend client events to network and build relationships on the organization’s behalf.

The Chair leads and chairs members’ and board meetings in accordance with meeting protocols, sets agendas in consultation with the President & CEO and committee chairs, and participates in governance and finance/audit committee activities. When necessary, the Chair chairs the search and selection committee for the President and CEO and supports officer and committee chair selection processes. The role champions principles of diversity, equity, and inclusion within the governance structures of the client, and requires passion for the mission and values, board leadership experience, strong non-profit governance knowledge, demonstrated leadership in a charitable/non-profit environment, collaborative consensus-building skills, strategic and communication ability, meeting facilitation and decision-support strengths, and a general understanding of current technology trends (with deeper expertise as an asset).
