Description

The client is seeking founding proposed Directors (Trustees), including a chairperson, to help establish its governance structure and support the organisation’s long-term mission. The initiative focuses on advocacy, accessibility, and inclusion, advancing sensory accessibility by default across education, employment, public services, and wider society, while promoting economic inclusion, equality, human rights, and meaningful participation. The work emphasizes shifting responsibility for accessibility from individuals to the design and delivery of accessible and inclusive systems and services.

Core Trustee responsibilities include complying with The client’s governing document, acting in the best interests of the organization, and ensuring its charitable purposes are pursued for the public benefit. Trustees are expected to exercise reasonable care and skill, manage and safeguard organizational assets, contribute to collective board decision-making, maintain confidentiality and professional standards, identify and manage conflicts of interest, and support effective governance, accountability, and transparency.

The chairperson and vice chairperson provide strategic leadership and governance oversight, working collaboratively with other Trustees and any future executive leadership. Key duties include helping communicate the organisation’s vision and purpose, ensuring effective functioning of the board and full participation of Trustees, planning and chairing board meetings in line with the governing document, providing constructive oversight in collaboration with the CEO when appointed, and ensuring board discussions remain focused on charitable purposes and strategic objectives. The role also involves impartial, fair, and objective decision-making; ensuring decisions are recorded, communicated, and followed up; supporting relationships among Trustees, staff, volunteers, and stakeholders; monitoring emerging issues that may affect the organization or its beneficiaries; and representing The client externally as appropriate, while supporting the development of founding governance arrangements, policies, and organizational structures.
