Description

the client is seeking multiple Tax Attorneys at all levels to join its in-house Tax Planning team, primarily supporting mergers and acquisitions and strategic transactions. This high-priority role will involve close collaboration with senior leadership, deal teams, and cross-functional stakeholders on sophisticated domestic and international transactions. The position will support tax planning through complex deal structuring and analysis, including financial modeling to assess transaction impacts.

Key responsibilities include providing tax support across the full transaction lifecycle, including due diligence, structuring, and financial modeling; advising on M&A activities such as acquisitions, dispositions, joint ventures, restructurings, and financings; and serving as the U.S. federal income tax lead on assigned projects. The role will also coordinate state and non-income tax considerations, partner with legal, finance, and business teams to assess tax implications of strategic initiatives, analyze relevant U.S. and international tax laws to support planning strategies, and collaborate with external advisors on complex matters.

Qualifications include a Bachelor’s Degree and a Juris Doctor (JD) from an accredited institution, along with active membership in good standing with a State Bar. Experience is expected to include at least 3+ years of transactional tax experience focused on M&A, with strong knowledge of Subchapter K (Partnership Tax), Subchapter C (Corporate Tax), and consolidated return regulations, as well as experience drafting and reviewing transaction documents and tax provisions. Preferred qualifications may include an LL.M. in Taxation, experience supporting complex multi-entity or cross-border transactions, exposure to financial modeling related to tax structuring, and familiarity with capital-intensive or transactional environments, alongside strong analytical skills, clear communication, and the ability to manage multiple deal-driven deadlines.
