The client is seeking a Senior Counsel to work with the Deputy General Counsel and other members of the legal team within the financial services industry. The role will advise on legal matters related to registered funds, including drafting and reviewing offering, marketing, and related documentation, as well as reviewing materials for compliance with applicable SEC and FINRA requirements.
The Senior Counsel will provide legal support for 1940 Act compliance as it pertains to transactions, fund of fund matters, and advisory-related issues. The position will also involve negotiating a range of agreements with registered fund counterparties, such as closed-end funds, mutual funds, real estate investment trusts, and other fund managers, and managing outside counsel when necessary. The role includes partnering with the broader legal team on additional projects as they arise.
Candidates should have a law degree with strong academic credentials, and be admitted to the NY State Bar. The role typically requires 4–10 years of experience in registered funds and/or mutual funds from a top law firm or in-house, or 4–10+ years of fund formation experience in the registered fund or mutual fund space. Strong knowledge of the 1933 Act and 1940 Act and relevant forms (including N-1A and N-2) is expected, along with being in good standing with the NY Bar (or another state or jurisdiction). Experience with the 1934 Act, the Commodity Exchange Act, and NFA rules is a plus, as is familiarity with UITS and ETFs, plus strong interpersonal and communication skills, organization, and the willingness to learn in an evolving environment.
