Join the client’s growing legal team, supporting securitized products and structured finance activities within capital markets and investment banking. The role provides legal support across securitization and financing transactions, with a focus on Collateralized Loan Obligation (CLO) matters. Responsibilities include serving as a lead legal advisor for CLO transactions such as warehouse facilities, new issuances, refinancings, resets, amendments, and ongoing deal management, while advising on legal, regulatory, bankruptcy, securities, and risk considerations that shape CLO platforms and transactions.
You will draft, review, and negotiate CLO transaction documentation and related ancillary agreements, working closely with bankers, structurers, portfolio managers, trustees, collateral managers, rating agencies, investors, and external counsel. In addition, you will support securitization transactions across multiple asset classes, including asset-backed securities (ABS), residential mortgage-backed securities (RMBS), commercial mortgage-backed securities (CMBS), and other structured credit products. The role also involves advising business stakeholders on product development, transaction structures, and strategic initiatives, and providing clear, timely, commercially focused legal analyses, memoranda, and recommendations for senior management.
Key qualifications include a Juris Doctor (J.D.) from an accredited law school and active bar membership in good standing in a U.S. jurisdiction, along with significant experience advising on securitization, structured finance, and capital markets transactions. The client expects deep expertise in CLOs, including warehouse financings and ongoing transaction management, as well as strong knowledge of securitization products and the legal, regulatory, and structural considerations relevant to structured credit. You will monitor legal and regulatory developments affecting structured finance markets, partner with compliance and risk functions to support regulatory requirements and controls, coordinate externally with industry groups and counsel, and manage external counsel relationships while identifying and mitigating legal and regulatory risks aligned with commercial objectives.
