Description

the client is seeking a legal professional to advise business teams involved in structured finance activities, including asset-backed lending, mortgage and real estate finance, whole loan transactions, and securitization programs. This role supports the preparation, review, and negotiation of complex financing and securitization agreements, delivering clear, practical legal analysis and recommendations on matters affecting structured finance operations.

The client will partner with business, compliance, risk, and operations teams to support the launch and execution of new products, structures, and strategic initiatives. Responsibilities include evaluating and enhancing internal policies and procedures impacting structured finance activities, tracking and interpreting evolving legal and regulatory requirements, and assessing implications for structured finance and related business lines.

This role also participates as a legal representative on cross-functional working groups addressing regulatory initiatives, process improvements, and industry developments, and provides pragmatic legal guidance to front-office professionals and corporate functions on strategic projects and novel transactions. The successful applicant will have a Juris Doctor (J.D.) and admission to practice law in at least one U.S. jurisdiction (NY or TX), significant experience in structured finance or related areas, strong knowledge of securitization transactions and legal and regulatory frameworks, subject matter expertise across securitization processes (including CMBS and RMBS), and a strong foundation in corporate, securities, finance, creditor rights, and bankruptcy law, along with excellent communication skills, analytical ability, discretion, confidentiality, and adaptability under pressure.
