Description

The client is seeking a Senior Tax Attorney to join its in-house Tax Planning team, supporting M&A and strategic transactions. This high-visibility role will partner with senior leadership, deal teams, and cross-functional stakeholders to advise on sophisticated domestic and international transactions and related tax structuring. The position is expected to provide strong transactional tax leadership, including deal support, financial modeling, and clear communication of complex tax concepts to internal stakeholders.

Key responsibilities include providing tax support across the full transaction lifecycle, such as due diligence, structuring, and financial modeling; advising on acquisitions, dispositions, joint ventures, restructurings, and financings; and serving as a U.S. federal income tax lead for assigned projects while coordinating relevant state and non-income tax considerations. The role will analyze applicable U.S. and international tax laws to support tax planning strategies, collaborate with internal legal, finance, and business teams to assess tax implications, and work with external advisors on complex tax matters. Additional duties include developing, reviewing, and refining financial models; drafting and reviewing tax provisions in transaction documents; and preparing technical tax memoranda and opinions.

Required qualifications include a Bachelor’s degree and a Juris Doctor (JD) from an accredited institution, along with active membership in good standing with a State Bar. Candidates are expected to have at least 3+ years of transactional tax experience with a focus on M&A, strong knowledge of Subchapter K (Partnership Tax), Subchapter C (Corporate Tax), and consolidated return regulations, and experience drafting and reviewing transaction documents and tax provisions. Preferred qualifications include an LL.M. in Taxation, experience in an AmLaw 100 or Big 4 M&A tax practice, exposure to complex multi-entity or cross-border transactions, and experience supporting tax-related financial modeling, with a background in a capital-intensive or transactional industry considered a plus. Strong analytical skills, excellent written and verbal communication, the ability to manage multiple deals and deadlines, and a proactive, detail-oriented, collaborative approach are expected.
