Description

The client is seeking a Senior Tax Attorney to join its in-house Tax Planning team, focused primarily on supporting mergers and acquisitions and strategic transactions. The role is high-visibility and involves working closely with senior leadership, deal teams, and cross-functional stakeholders to support sophisticated domestic and international matters. The position will provide transactional tax leadership, including modeling and structuring complex deals.

Key responsibilities include providing tax support across the transaction lifecycle, including due diligence, structuring, and financial modeling. The Senior Tax Attorney will advise on M&A transactions such as acquisitions, dispositions, joint ventures, restructurings, and financings, and serve as the U.S. federal income tax lead on assigned projects while identifying and coordinating relevant state and non-income tax considerations. The attorney will analyze applicable U.S. and international tax laws, collaborate with internal legal, finance, and business teams to assess tax implications, and coordinate with external advisors on complex tax matters.

The role includes drafting and reviewing tax provisions in transaction documents, preparing technical tax memoranda and opinions, and clearly communicating complex tax concepts to internal stakeholders and senior leadership. Required qualifications include a Bachelor’s degree, a Juris Doctor (JD) from an accredited institution, active membership in good standing with a State Bar, and at least 3+ years of transactional tax experience with a focus on M&A. The candidate should have strong knowledge of Subchapter K (Partnership Tax), Subchapter C (Corporate Tax), and consolidated return regulations, along with experience drafting and reviewing transaction documents and provisions; an LL.M. in Taxation and experience at a large M&A tax practice are preferred.
