Description

The client is seeking a Senior Derivatives Counsel to join its legal team and provide coverage for equity derivatives and structured equity finance. The role will support the equities sales and trading business by advising on derivatives-related legal and documentation matters and offering opportunities to expand scope over time.

Key responsibilities include drafting, reviewing, and negotiating trading and collateral-related documentation, with a focus on ISDA Master Agreements, credit support annexes (including initial and variation margin), master confirmations, and related agreements. The role will also provide guidance on regulatory requirements affecting derivatives transactions, including uncleared margin rules and other applicable frameworks, and support trading across equity swaps, options, and forwards. In addition, the role will draft and negotiate securities financing documentation, such as MRAs and MSLAs, and help develop and maintain standardized templates.

The successful candidate will have training from an ABA-accredited law school and be admitted to the US State Bar. They should have experience advising on and negotiating a range of equity derivatives and trading documentation, with strong drafting and negotiation skills, and a demonstrated ability to simplify legal advice for multiple stakeholders in a fast-paced environment. Experience advising on margin loans and structured notes transactions and a strong understanding of the ISDA framework are expected.
