Description

The client is seeking to appoint a Non-Executive Director who will also serve as Company Secretary, contributing to the strategic direction, governance, and long-term development of a purpose-led organisation. This role is designed to be accessible to an experienced professional who may be taking on an initial non-executive or NGO board appointment. The successful candidate will bring sound judgement and relevant experience in areas such as finance, accounting, legal and company secretarial work, governance, risk, or compliance.

The Non-Executive Director responsibilities include participating actively in board meetings to provide independent judgement and constructive challenge, and supporting effective oversight of financial performance, budgets, funding, and financial controls. The role also involves helping the board identify and manage organisational, financial, and governance risks, ensuring that the interests of members, funders, stakeholders, and the wider public-interest purpose are appropriately considered, and supporting effective relationships between the board, steering committee, and secretariat. Where appropriate, the director will act as an ambassador for the organisation’s mission.

The Company Secretary responsibilities will support the chair and board in maintaining high standards of corporate governance, including advising on company law, governance, and statutory requirements within the scope of the role and coordinating specialist external advice when needed. The role will coordinate board and AGM administration such as agendas, papers, minutes, and resolutions; ensure statutory registers, corporate records, and governance documentation are maintained; and support statutory and regulatory filings by liaising with accountants, auditors, and other professional advisers. It also includes ensuring board policies and procedures remain appropriate for a small company limited by guarantee, providing practical governance support between meetings, and recognising when specialist legal, accounting, or other professional input is required.
