The client is seeking to appoint two non-executive Board Directors to provide independent oversight, governance, and strategic direction. Directors act collectively as part of the Board and do not hold operational responsibilities. The role is focused on ensuring the organisation fulfills its charitable purpose, delivers high-quality services, and remains financially sustainable, compliant, and well-governed, while upholding the client’s values and ethos.
Board Directors are expected to act in the best interests of the organisation, its residents, and its charitable purpose. Responsibilities include providing effective governance and oversight, including compliance with charity law, governance standards, and regulatory requirements; contributing to the development, approval, and monitoring of strategy and strategic objectives; overseeing financial sustainability and stewardship of resources; and monitoring organisational risk, quality, safety, and compliance through relevant assurance and risk processes. Directors also support and constructively challenge senior leadership, ensure robust accountability and internal control systems, participate in Board and committee meetings and decision-making, and act as an ambassador for the organisation externally.
Candidates should bring complementary skills and experience, ideally in one or more areas such as financial and governance oversight (including experience in accounting, audit, or financial management within charities or not-for-profit contexts), property and estate management (including asset planning, maintenance, capital investment, or regulatory compliance related to property, with experience in residential or care-based settings as an advantage), fundraising and sustainability (including donor engagement, grants, philanthropy, or alternative income streams and strategic understanding of financial sustainability in a charitable or social care context), strategic planning and organisational development, and/or quality, risk, and compliance (including familiarity with risk management and assurance processes for regulated services). The role also requires alignment with the organisation’s person-centred approach, integrity and sound judgement, the ability to challenge constructively, strategic thinking balanced with practical insight, and commitment to equality, inclusion, and safeguarding.
