The client is hiring an In-House Legal Counsel to build and lead a legal and compliance function as the first in-house legal hire. The role will work directly with the CEO and leadership team, developing the legal and compliance strategy, growing the team, and providing legal counsel to senior leaders and relevant business areas including asset management. The position focuses on advising leadership on legal and regulatory matters while supporting effective risk management.

Key responsibilities include providing legal guidance on CMBS transactions and related contracts, ensuring compliance with federal, state, and local regulations affecting the banking and financial services sector, and monitoring changes in applicable laws and regulations relevant to the property industry. The Legal Counsel will draft, review, and negotiate contracts, agreements, and other legal documents, and collaborate with internal teams to manage legal risk and help resolve disputes. The role also supports risk management strategies intended to protect the organization’s interests.

The successful candidate will have a Juris Doctor degree from a US accredited law school and be admitted to the Texas bar. They should bring strong knowledge of CMBS, lending, and financial services regulations, along with exceptional contract drafting and negotiation skills. Additional expectations include the ability to analyze complex legal and regulatory issues, strong interpersonal and communication skills for cross-functional collaboration, and excellent attention to detail in a fast-paced, busy commercial transaction environment. The Legal Counsel will also provide training and guidance to staff on compliance and legal matters.
