the client is seeking an experienced and strategic General Counsel to serve as the organization’s primary legal advisor for a growing marine operations business involved in vessel chartering, ocean data services, and specialized offshore projects. This key leadership role supports the CEO and executive team with practical, business-focused legal guidance across contracts, compliance, corporate governance, risk management, and employment matters, helping enable growth while safeguarding the business.
Key responsibilities include advising on legal, regulatory, and governance matters; developing legal strategies aligned with business objectives; identifying and mitigating legal risks; and drafting, reviewing, and negotiating commercial agreements with clients, vendors, and partners. The role also supports mergers, acquisitions, joint ventures, and strategic partnerships, ensures compliance with applicable federal, provincial, and industry regulations, and advises on employment matters including hiring, terminations, workplace issues, and HR policy development.
Additional duties include overseeing dispute resolution, claims, litigation strategy, and insurance coverage; building and scaling internal legal processes, templates, and frameworks; and managing external counsel relationships and legal budget and spend. The client is looking for a qualified Canadian lawyer (LL.B. or J.D. and member in good standing) with strong experience drafting and negotiating complex commercial agreements, typically gained through private practice and/or in-house roles, along with experience in areas such as maritime or shipping law, energy/natural resources/offshore sectors, government contracting or procurement, and environmental law or regulatory compliance.
