the client is seeking a fund formation attorney to support a growing legal team. The Fund Formation Attorney will work with the General Counsel and other team members, representing private funds on legal, compliance, and regulatory matters. Core focus areas include capital raising, marketing, investor relations, fund formation and structuring, and related corporate transactional matters and contracts.
Key responsibilities include drafting and negotiating a range of agreements and private fund legal documentation, including private fund offering materials, partnership agreements, and other related instruments. The role will also support regulatory matters, including regulatory filings, manage outside counsel, and review marketing materials to support SEC and FINRA compliance. Additional duties include drafting and reviewing NDAs and other contracts.
The ideal candidate is expected to have strong academic credentials and to be admitted to the NY State Bar. The role typically requires 3–5 years of experience in a fund formation/private funds group at a top law firm, along with strong knowledge of key U.S. securities and investment laws and regulations, including the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA regulations. The candidate should be a team player with excellent communication skills.
