the client is hiring a legal professional to support fixed income sales and trading business units in a transaction and advisory-focused role. You will serve as a legal point person for the desks, providing transactional and advisory support across deal-contingent hedging strategies and related swap transactions, and offering legal guidance on structured cash and derivatives transactions.
Key responsibilities include advising on deal execution and documentation, reviewing and analyzing M&A documentation such as asset purchase agreements, NDAs, and commitment letters, and evaluating credit agreements and transaction documents for project finance deals. You will counsel on securities law matters and support ongoing structured note programs, managing global outside counsel to assess execution risk and closing probability for acquisition and financing transactions tied to derivatives. You will also respond to cross-functional inquiries across trading, sales, risk, operations, finance, and onboarding on legal, credit, and documentation matters.
Successful applicants will typically have admission to the NY State Bar and have completed an ABA-accredited law school education. Experience is expected either from a top law firm working with structured products or from in-house work supporting legal transaction and advisory needs for an investment bank’s fixed income sales and trading desk, with a strong understanding of derivatives and fixed income structured products. The role also expects strong drafting and negotiating skills, experience advising senior stakeholders, and a solid understanding of regulatory laws and compliance matters related to sales and trading, along with the ability to work effectively as a team player.
