Description

The Director, Managing Counsel position at the client involves working closely with senior business leaders in the investment bank, with a primary focus on M&A, advisory, and capital markets. The role includes providing legal coverage for all M&A and financial advisory matters, advising industry and product coverage groups, and collaborating with senior leadership. Responsibilities include drafting and negotiating M&A engagement letters, reviewing fairness opinions and valuations, providing legal support for capital markets transactions, advising on public company transactions, and managing outside counsel.

The ideal candidate will have a JD from a US ABA accredited law school, at least 7 years of experience supporting front office M&A and Financial Advisory matters at an investment bank, and US State Bar Admission. They should have deep M&A transactional and advisory experience, including drafting and negotiating M&A engagement letters, as well as a strong understanding of M&A valuations, fairness opinions, and proxy disclosures. Strong communication, drafting, negotiating, and analytical skills are required, along with the ability to provide clear and practical advice to senior business partners and build strong working relationships with senior members of the bank.
