The client is recruiting a voluntary Board Trustee to support governance, legal and compliance functions for an Irish environmental charity. The trustee will help ensure the organization operates to high standards under the Charities Governance Code and relevant Irish charity company and regulatory requirements, contributing to effective oversight and board-level decision-making.
Working with the Board Chair and Deputy Chair, the trustee will provide guidance on compliance with statutory reporting and company secretarial obligations, including maintaining and reviewing key organizational policies and advising on best practices in non-profit governance. The role also involves partnering with a contracted Board Secretary on official filings, minute-taking, and register maintenance, supporting compliance across public-facing events and grant agreements, and overseeing responsibilities such as maintaining a Register of Members, updating the Memorandum and Articles of Association, ensuring accuracy of the registered address with the relevant authority, and advising on IT governance and organizational data protection.
Suitable candidates have experience in areas such as law, corporate governance, company secretarial practice, regulatory compliance, or non-profit administration, along with knowledge of applicable charity governance expectations and data protection requirements. The role is expected to require attendance at monthly board meetings (approximately 1.5–2 hours, online or hybrid) and additional time for policy review and governance oversight (approximately 2–3 hours per month), plus participation in an in-person AGM event.
