the client is seeking to expand its board membership to strengthen governance and oversight. The board member with finance, legal, and governance expertise will help uphold transparency and accountability while supporting oversight of financial control, risk assessment, and compliance. This role is part of the organization’s governance structure and is expected to involve participation in the Finance, Audit and Risk Committee, with potential for committee leadership.

The board member will provide oversight and guidance on the development of financial systems, monitoring financial administration, and ensuring appropriate financial controls as the organization scales. Responsibilities include overseeing due diligence, grant-making, and monitoring processes to ensure appropriate use of funds and compliance with relevant regulations and applicable environmental and governance standards across geographies, as well as reviewing key organizational risks such as financial, reputational, and compliance risks. The role also involves advising on legal strategy related to international grant-making and partnerships, ensuring proportionate but strong audit and control arrangements and internal transparency with funders and stakeholders, contributing to long-term financial strategy and reserves and funding diversification, and supporting board governance framework development, board culture, and intermittent approval and review activities, including time-sensitive legal document review and grant approvals outside the grant cycle.
