The Company Secretary position at our client is a critical role responsible for leading the governance function of the organization. Reporting to the Board Chair and CEO, the successful candidate will ensure compliance with statutory and canonical obligations, providing governance advice and support to the Board, committees, and Executive Leadership Team. Key responsibilities include organizing meetings, preparing agendas, recording minutes, and maintaining accurate records of decisions and policies to support the Board and its committees. Additionally, the Company Secretary will develop and implement governance practices to ensure compliance with relevant regulations and provide expert counsel on corporate governance principles and director liability.The ideal candidate will have a strong background in compliance management, with experience creating and maintaining policies, processes, and procedures to support governance practices. Building strong relationships across the organization is essential, as the Company Secretary will collaborate with stakeholders to provide governance advice and best practices to support the Board, CEO, and senior management. Maintaining registers of conflicts of interest, related party transactions, and Board policies will also be a key responsibility, ensuring all governance documentation is current and accessible to support our client's mission and strategic priorities.
